Vendor Agreement

These Vendor Terms & Conditions apply to all sellers registering to sell products through the Simon The Shrimp multi-vendor marketplace. By registering as a Vendor and listing products for sale, you agree to comply with these terms.

1. Vendor Registration

A registration fee may be payable when opening a Vendor account. Where a registration fee applies, this will be made clear before registration is completed.

Any registration fee paid is non-refundable, including where a Vendor later chooses not to use, or stops using, the marketplace.

Simon The Shrimp reserves the right to approve or decline Vendor applications at its discretion.

2. Marketplace Commission

All sales made through the Simon The Shrimp marketplace are subject to a 12% commission fee payable to Simon The Shrimp.

This commission will be automatically deducted from the Vendor's earnings before any balance is paid out.

Simon The Shrimp reserves the right to amend the commission rate in the future. Vendors will be notified of any changes before a revised commission rate takes effect.

3. Payment Processing Fees

In addition to the Simon The Shrimp marketplace commission, each transaction is subject to a payment processing fee charged by the third-party payment processing provider.

The current payment processing fee is:

£0.25 per transaction
Plus 1.5% of the transaction value

This fee will be automatically deducted from the Vendor's earnings before payment is made.

Payment processing fees are separate from the 12% Simon The Shrimp marketplace commission.

Payment processing fees are set by the payment processing provider and may change from time to time. Where the provider changes its charges, the applicable updated fees may also apply to Vendor transactions.

4. Vendor Payments

Funds due to the Vendor, after deduction of marketplace commission, payment processing fees, refunds, chargebacks, adjustments or any other applicable charges, will normally be paid directly to the Vendor within 10 days.

Payment times may occasionally be affected by payment provider processing times, disputes, refunds, chargebacks, banking delays or other circumstances outside the reasonable control of Simon The Shrimp.

Simon The Shrimp may temporarily withhold payment where there is an unresolved customer dispute, suspected fraudulent activity, chargeback, refund request or other issue relating to an order.

5. Product Listings and Management

The Vendor is responsible for creating, updating and maintaining their own products within the Simon The Shrimp marketplace.

The Vendor must ensure that:

Product descriptions are accurate and not misleading.
Prices are correct and kept up to date.
Stock availability is accurate.
Product photographs accurately represent the items being sold.
Relevant ingredients, instructions, warnings, dimensions or other important product information are provided where applicable.
Products comply with all applicable UK laws and regulations.
Any claims made about products are accurate and can be supported where necessary.

Simon The Shrimp may remove, suspend or request amendments to any listing considered inaccurate, inappropriate, misleading, unlawful or unsuitable for the marketplace.

6. Stock Availability

The Vendor is responsible for ensuring that stock levels shown on the marketplace are accurate.

Products should not remain available for purchase where the Vendor does not have sufficient stock to fulfil the order.

Where an item becomes unavailable after an order has been placed, the Vendor must notify the customer as soon as reasonably possible and arrange an appropriate refund, replacement or alternative solution.

7. Orders and Despatch

The Vendor is responsible for the timely processing and despatch of every order they receive.

Vendors must keep the status of their orders updated through their Vendor Dashboard so that customers receive accurate information regarding the progress of their purchase.

The Vendor is responsible for ensuring that products are:

Correctly picked and packed.
Appropriately and securely packaged.
Despatched within the stated processing timeframe.
Sent to the correct customer and delivery address.
Accompanied by appropriate delivery or tracking information where applicable.
Updated correctly within the Vendor Dashboard once processed and despatched.

Repeated failure to despatch orders within a reasonable timeframe may result in the Vendor account being reviewed, suspended or terminated.

8. Delivery Responsibility

The Vendor accepts full responsibility for the delivery of products sold by them through the marketplace.

Any issues involving delayed, lost, damaged, incomplete, incorrectly addressed or incorrectly delivered orders remain the responsibility of the Vendor.

The Vendor is responsible for working directly with the customer and, where appropriate, the delivery provider to resolve delivery-related issues.
